Two-Entity Structure — Who You Contract With
Goletrik operates through two separate legal entities. It is important that you understand which entity you are contracting with, because each entity has a distinct role and distinct legal responsibilities.
0 Emission Technologies Limited (OpCo)
The platform operator. OpCo operates the Goletrik digital platform, manages customer onboarding and KYC, processes payments, coordinates installations and maintenance, and serves as the appointed servicer of the solar assets on behalf of AssetCo. You contract with OpCo if you are an Affiliate, an Installer, or a Visitor.
Goletrik Energy Assets Limited (AssetCo)
The asset-owning special-purpose vehicle (SPV). AssetCo owns, holds, and leases the solar energy assets, issues Bonds/Notes to Investors, and enters into CPSAs with Customers. OpCo acts as AssetCo's appointed servicer for day-to-day operations. You contract with AssetCo if you are a Customer (under a CPSA) or an Investor (under an IPA).
Separation of Entities
OpCo and AssetCo are separate legal persons. The assets, liabilities, revenues, and obligations of one are not the assets, liabilities, revenues, or obligations of the other. The solar energy assets are owned by AssetCo and are ring-fenced from the operational and business risks of OpCo. Neither entity guarantees the obligations of the other except as expressly stated in a written agreement.

To the maximum extent permitted by law, the total aggregate liability of OpCo and/or AssetCo (as applicable) to any user for any and all claims arising out of or in connection with the Platform or these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount of fees actually paid by that user to Goletrik in the twelve (12) months immediately preceding the event giving rise to the claim. For Visitors and users who have paid no fees, the aggregate liability shall not exceed ₦100,000 (one hundred thousand Naira).
Exclusion of Indirect Damages
In no event shall OpCo or AssetCo be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, or loss of data, whether arising in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.
No Exclusion
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Nigerian law, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation.

In the event of any inconsistency between these Terms and the Help Articles, the express terms of these Terms shall prevail.

If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect as if the invalid provision had never been included.
No Waiver
No failure or delay by Goletrik in exercising any right or provision under these Terms shall operate as a waiver, nor shall any single or partial exercise of any right preclude any further exercise of that or any other right.
Amendment
Goletrik may amend these Terms from time to time. Material amendments will be notified to registered users via the Platform or by email. Continued use of the Platform after the effective date of a material amendment constitutes acceptance of the amended Terms. For user-specific agreements (CPSA, IPA, Affiliate Agreement, Installer Agreement), amendments are governed by the amendment clause of that specific agreement.
Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without the prior written consent of Goletrik. Goletrik may assign or transfer its rights and obligations under these Terms to an affiliate (including between OpCo and AssetCo) or to a successor in connection with a merger, acquisition, or sale of all or substantially all of its assets, without consent.
