RC 6929125The platform operator appointed by AssetCo to service and operate the solar energy assets — managing installations, billing, maintenance, and the technology platform.
Ring-Fencing Principle
AssetCo's sole purpose is to own solar energy assets and issue bonds to investors. Its Articles of Association include a narrow object clause, explicit bond-issuance powers, a servicer-delegation model, and a rigid dividend waterfall that prioritises bondholder payments before any member distributions. This structural separation ensures that investor claims are backed by the assets, not commingled with operational liabilities of the platform operator.

- Operational risk: inverter, battery, or gateway failures may cause downtime; O&M reserves are maintained but cannot eliminate all downtime.

- Liquidity risk: the bond instrument has a defined term; early exit is available via buyover but not guaranteed at face value.

Goletrik Energy Assets Limited is incorporated under the Companies and Allied Matters Act of the Federal Republic of Nigeria (RC 9897370). 0 Emission Technologies Limited, the platform operator, is separately incorporated (RC 6929125).
Investments in Goletrik Energy Assets Limited are currently offered on a private placement basis to qualifying investors who meet the eligibility criteria set out in the Investor Participation Agreement. The company is structured to operate within applicable Nigerian securities law exemptions for private offerings and is pursuing appropriate regulatory engagements as the platform scales.
