GOLETRIK CUSTOMER POWER SERVICE AGREEMENT (CPSA)
Powered by 0 Emission Technologies Limited
1. PARTIES
This Power Service Agreement ("Agreement") is made this ___ day of _______, 20__
Between:
Goletrik, a business unit of 0 Emission Technologies Limited (RC No. ________), having its registered office at ______________________ (hereinafter referred to as "Service Provider"),
AND
[Customer Name], a company incorporated under the laws of the Federal Republic of Nigeria, having its principal place of business at ______________________ (hereinafter referred to as "Customer").
2. PURPOSE
This Agreement sets out the terms and conditions under which Goletrik shall design, install, operate, and maintain a solar power system ("System") at the Customer's premises, and the Customer shall pay for the electricity generated and supplied under an Energy-as-a-Service (EaaS) model.
3. TERM
This Agreement shall be valid for a period of ten (10) years ("Initial Term") commencing from the date of commissioning of the System.
The Agreement may be renewed for additional five-year terms upon mutual consent and satisfactory performance.
4. OWNERSHIP
The System and all associated components shall remain the property of the Service Provider throughout the term of this Agreement.
The Customer does not acquire ownership or any proprietary rights over the System, except where a buyout is executed under Clause 13.
7. PAYMENT TERMS
The Customer shall pay Goletrik a service fee calculated on a ₦/kWh consumption basis, as specified in Schedule A.
The Provider shall make available electricity generated from the System to the Customer through a prepaid energy model managed by the Wattice energy management platform.
The Customer shall make payments in advance for energy credits before consumption.
7.1 Idle System Surcharge
In the event that the installed System remains unused or idle for a continuous period exceeding thirty (30) days, without prior written notice to the Service Provider, the Customer shall be liable to pay a standby surcharge equivalent to twenty-five percent (25%) of the last thirty (30) days' cumulative billing.
7.2 Refund & Rollover Policy
All prepaid energy token purchases are final and non-refundable once payment is confirmed. Energy units remaining in the Customer's token balance at the end of a billing period cannot be rolled over to the next period. Unused units within the minimum monthly allotment expire at the close of the billing cycle. The Customer is advised to plan token purchases based on expected consumption for the current billing period.
8. MAINTENANCE & SUPPORT
- Goletrik shall be responsible for all preventive and corrective maintenance of the System
- Routine inspections shall be carried out quarterly or as needed
- The Customer shall grant unrestricted access to authorized technicians
13. SYSTEM BUYOUT OPTION
The Customer may request to purchase the System at any time during the service term — there is no minimum service period requirement.
The buyout price is the higher of:
- Outstanding Investor Return: The original installation cost compounded at approximately 22% APR, less all energy payments already collected on investors' behalf to date.
- Remaining Physical Asset Value: The depreciated market value of the installed equipment based on each component's remaining useful life.
The residual value does not decrease linearly as energy tokens are purchased. Inflationary pressures on equipment replacement costs may offset depreciation, meaning the residual value may remain stable or even increase over time in nominal terms.
14. EARLY TERMINATION
If the Customer chooses to terminate this Agreement before the end of the Initial Term (other than through the System Buyout process described in Clause 13), an early termination charge shall apply.
Early Termination Charge = 5% × Residual Value at Termination Date
The residual value is the depreciated market value of the installed equipment based on each component's remaining useful life, as displayed on the Customer's Goletrik dashboard at the time of termination.
Early termination penalties are waived where Goletrik fails to remedy a material breach within 30 days of written notice, the system becomes permanently non-functional, or force majeure makes continued service impossible.
17. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement shall be governed by the laws of the Federal Republic of Nigeria. Any dispute arising shall be resolved amicably; failing which, it shall be referred to arbitration in Lagos.
